Please read these Terms & Conditions carefully before using Boredom. By creating an account or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use Boredom.
1. Who We Are
Boredom (“we”, “us”, “our”) is a technology platform that connects people with local activities, meetup events, curated venues, and dining experiences, helping to combat social boredom and build genuine community. The Boredom mobile application and any associated web services are collectively referred to as the “Service” or “Platform”.
Boredom is incorporated in England and Wales as a holding company and primarily operates the Service for users in the Federal Republic of Nigeria. As a UK-registered entity, we are subject to both English law and Nigerian law where applicable. Where we serve users in other jurisdictions, additional jurisdiction-specific terms may apply.

2. Eligibility
To use Boredom you must:
- Be at least 18 years of age. The age of majority in Nigeria for contractual purposes is 18.
- Be a human individual. Accounts registered by bots, scrapers, or automated methods are not permitted.
- Have the legal capacity to enter into a binding contract under Nigerian law.
- Not be prohibited from using the Service under any applicable Nigerian or international law.
- Reside or be physically present in a jurisdiction where access to the Service is lawful.
If we discover you are under 18, we will immediately suspend and permanently delete your account in line with the Nigeria Data Protection Act 2023 (NDPA) and the Child Rights Act 2003.
3. Account Registration & Verification
3.1 Creating an Account
You may register using a valid email address and password or via a supported third-party provider (e.g. Google Sign-In). You must provide accurate, complete, and up-to-date information. Providing false identity information may constitute an offence under the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
3.2 Admin Verification
Full access to the Platform (including hosting or attending Meetups and placing orders) requires your account to be verified by a Boredom administrator. Verification helps maintain a safe, trusted community and may require submission of valid identification. We reserve the right to refuse or revoke verification at our sole discretion without prejudice to your rights under applicable law. Unverified accounts have limited functionality.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You agree to:
- Use a strong, unique password and enable all available security features.
- Notify us immediately at hello@boredomhq.com if you suspect unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
We will never ask for your password by email, phone call, or in-app message. Phishing attempts impersonating Boredom should be reported to us and to the Nigeria Computer Emergency Response Team (ngCERT).
3.4 One Account Per Person
Each individual may hold only one account. Creating duplicate accounts to circumvent a suspension or ban is a material breach of these Terms and may be reported to relevant authorities under the Cybercrimes Act.
4. The Service
4.1 What Boredom Offers
The Platform enables users to:
- Discover and explore curated local venues, activities, and experiences across Nigeria.
- Create, host, and attend social meetup events at listed locations.
- Connect and communicate with other verified users via in-app messaging.
- Browse and order food and menu items at participating venues.
- Maintain a personal profile, including a profile photograph.
4.2 Service Availability
We strive for high availability but do not guarantee the Service will be uninterrupted, error-free, or available at all times. Network conditions in Nigeria (including provider outages or infrastructure issues) may affect availability. We may suspend, modify, or discontinue the Service or any part of it at any time without liability to you.
5. Meetups & Events
5.1 Creating a Meetup
Verified users may create meetup events (“Meetups”). As a host (“Creator”), you are solely responsible for:
- The accuracy of all Meetup details (title, date, time, location, and description).
- Ensuring the Meetup complies with venue rules, local government regulations, and all applicable Nigerian laws, including any permit or gathering requirements.
- Communicating changes or cancellations to attendees promptly via in-app messaging.
- Your own conduct and the safety and conduct of attendees at any private Meetup you organise.
5.2 Attending a Meetup
By joining a Meetup, you acknowledge that:
- Boredom is a technology platform, not an event organiser. We do not supervise, endorse, or take legal responsibility for any Meetup.
- You attend at your own risk. You are responsible for your own safety and the safety of anyone you bring.
- You will comply with all venue rules, the instructions of the Creator, and applicable laws at the meetup location.
5.3 Cancellation
Creators may cancel a Meetup at any time. Boredom may remove or cancel any Meetup that we reasonably believe violates these Terms, applicable law, or third-party rights. We are not liable for any losses arising from a cancelled Meetup.
6. User Content
6.1 Your Content
“User Content” means any information, text, photographs, messages, or other material you submit, post, or transmit through the Service (including profile photos, Meetup descriptions, and chat messages).
6.2 Licence to Boredom
By submitting User Content, you grant Boredom a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, host, store, reproduce, modify (for formatting or technical purposes only), publicly display, and distribute your User Content solely to operate, improve, and promote the Service. This licence ends when you delete the content or your account, subject to any legal retention obligations.
6.3 Your Representations
You represent and warrant that:
- You own or have the necessary rights and permissions to submit the User Content.
- Your User Content does not infringe the intellectual property, privacy, or other rights of any third party under Nigerian law or internationally.
- Your User Content does not violate any provision of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 or any other applicable law.
6.4 Content Removal
We may remove or disable access to any User Content at our sole discretion and without notice if we believe it violates these Terms, applicable Nigerian law, or is otherwise objectionable. We have no obligation to store User Content indefinitely.
7. Prohibited Conduct
You agree not to use the Service to:
- Post content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable under Nigerian law.
- Impersonate any person or entity, or misrepresent your identity (an offence under Section 22 of the Cybercrimes Act 2015).
- Solicit personal information from minors or engage in any form of exploitation or trafficking contrary to the Trafficking in Persons (Prohibition) Enforcement and Administration Act.
- Transmit spam, unsolicited messages, or bulk commercial communications in violation of Nigerian Communications Commission (NCC) regulations.
- Upload viruses, malware, ransomware, or any code designed to disrupt, damage, or gain unauthorised access to any system (an offence under Sections 6 to 8 of the Cybercrimes Act 2015).
- Scrape, crawl, or automatically collect data from the Platform without our express written consent.
- Reverse-engineer, decompile, or attempt to extract the source code of the app.
- Facilitate or encourage illegal activity, including drug trafficking, violence, terrorism, or unlawful discrimination contrary to Nigerian law.
- Conduct financial fraud, advance-fee fraud (commonly known as “419” fraud), or any fraudulent scheme contrary to the Advance Fee Fraud and Other Related Offences Act.
- Circumvent, disable, or interfere with any security or access-control features of the Service.
Violation of these prohibitions may result in immediate account suspension or termination and referral to the Nigeria Police Force, Economic and Financial Crimes Commission (EFCC), or other relevant authorities.
8. Messaging & Communications
The in-app messaging feature is provided for legitimate social communication between users. You must not use it to harass, abuse, intimidate, or threaten others. Harassment or cyberbullying via electronic communication is an offence under Section 24 of the Cybercrimes Act 2015.
We may monitor communications where required by law, by order of a competent Nigerian court, or to investigate reports of misuse. We do not systematically monitor private messages for marketing purposes.
By using the Service, you consent to receive service-related push notifications and emails (e.g. meetup reminders, account alerts). You may manage notification preferences in your device settings at any time.
9. Orders, Payments & Refunds
9.1 Ordering
Where the Platform facilitates food or menu item orders at participating venues, those orders constitute a contract between you and the relevant venue, not Boredom. Boredom acts solely as a technology intermediary facilitating the transaction.
9.2 Pricing & Currency
All prices displayed on the Platform are denominated in Nigerian Naira (₦) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate unless otherwise stated. Prices are set by venues and are subject to change without notice. We are not responsible for price discrepancies caused by venue errors.
9.3 Payment Processing
Payments are processed by licensed third-party payment service providers operating in Nigeria and regulated by the Central Bank of Nigeria (CBN). By submitting a payment, you agree to the applicable processor's terms and conditions. We do not store full payment card data. All electronic transactions are subject to the CBN Guidelines on Electronic Payment and the Payment Service Provider Regulations.
9.4 Consumer Rights & Refunds
Your rights as a consumer are protected under the Federal Competition and Consumer Protection Act (FCCPA) 2018 and the Federal Competition and Consumer Protection Commission (FCCPC). Refund eligibility for orders is primarily governed by the relevant venue's refund policy. If you have a dispute regarding an order:
- Contact the venue directly in the first instance.
- If unresolved, contact us at hello@boredomhq.com.
- If still unresolved, you may escalate to the FCCPC at www.fccpc.gov.ng.
10. Intellectual Property
10.1 Our IP
All content, design elements, trademarks, logos, software, and technology on the Service that are not User Content belong to Boredom or its licensors and are protected under the Copyright Act (Cap C28 LFN 2004), the Trade Marks Act (Cap T13 LFN 2004), and applicable Nigerian and international intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property without prior written consent.
10.2 Feedback
If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you.
11. Privacy & Data Protection (UK GDPR / Nigeria NDPA 2023)
Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
As a company incorporated in England and Wales and operating in Nigeria, we process personal data in compliance with the following legislation:
- UK General Data Protection Regulation (UK GDPR): the retained version of EU GDPR applicable in the United Kingdom following Brexit.
- Data Protection Act 2018 (DPA 2018): the UK statute that supplements and gives domestic effect to the UK GDPR.
- Nigeria Data Protection Act 2023 (NDPA): Nigeria's primary data protection legislation governing our Nigerian operations.
- Nigeria Data Protection Regulation 2019 (NDPR): applicable to the extent it remains in force alongside the NDPA.
- Nigeria Data Protection Bureau (NDPB) guidelines and directives as issued from time to time.
11.1 Your Rights
Depending on your location, you have rights under the UK GDPR and/or the NDPA including the right to access, rectify, erase, restrict processing of, object to processing of, and port your personal data. To exercise any of these rights, contact us at hello@boredomhq.com.
11.2 Supervisory Authorities
If you are based in the United Kingdom and believe we have not handled your personal data lawfully, you have the right to lodge a complaint with the Information Commissioner's Office (ICO) at www.ico.org.uk. We would appreciate the opportunity to address your concern before you contact the ICO, so please reach out to us first.
If you are based in Nigeria, you may lodge a complaint with the Nigeria Data Protection Bureau (NDPB) at www.ndpb.gov.ng.
11.3 International Data Transfers
Where personal data is transferred outside the United Kingdom or Nigeria, we ensure that adequate safeguards are in place. Transfers from the UK are conducted in accordance with UK GDPR Chapter V and the ICO's transfer mechanisms. Transfers from Nigeria are conducted in accordance with Section 43 of the NDPA.
12. Third-Party Services
The Service integrates with third-party services including but not limited to:
- Google Sign-In & Firebase: authentication, database, and cloud storage (Google LLC, USA).
- Apple App Store / Google Play Store: app distribution.
- CBN-licensed payment processors (e.g. Paystack, Flutterwave, or equivalent): transaction processing.
- Mapping services: location and venue display.
- Push notification providers: delivery of in-app alerts.
Your use of these services is subject to their respective terms and privacy policies. Any international data transfer to providers outside Nigeria is governed by our Privacy Policy and the NDPA cross-border transfer provisions. We are not responsible for the acts or omissions of third-party services.
13. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE.
We do not warrant the accuracy, completeness, or currency of any content on the Service, including venue listings, Meetup details, or menu information. We are not responsible for the actions, conduct, or content of other users, venues, or third parties, whether online or offline.
Boredom is a technology platform that facilitates social connections. We do not carry out background checks on users unless expressly required by Nigerian law. You must exercise your own judgement and take reasonable precautions when meeting other users in person.
Network connectivity, power supply, and infrastructure conditions in Nigeria may affect Service performance. We are not liable for disruptions caused by factors beyond our control.
14. Limitation of Liability
To the maximum extent permitted by applicable law, including the laws of England and Wales and the Federal Republic of Nigeria:
- Boredom's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of ₦50,000 (Fifty Thousand Naira) or the total amount paid by you to Boredom in the twelve (12) months preceding the event giving rise to the claim. Where a transaction is denominated in pounds sterling or another currency, the equivalent value will apply.
- Boredom shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of profits, data, goodwill, business interruption, or other intangible losses, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under the Consumer Rights Act 2015 (UK), the FCCPA 2018 (Nigeria), or any other applicable law. UK consumers retain all statutory rights afforded to them under English law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Boredom, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or inability to use the Service.
- Your User Content.
- Your violation of these Terms or any applicable Nigerian law.
- Your violation of any rights of a third party.
- Any Meetup you create or attend.
16. Term, Suspension & Termination
16.1 By You
You may delete your account at any time via in-app settings. Deletion will result in the permanent removal of your profile and associated personal data, subject to our data retention obligations under the NDPA 2023 and other applicable Nigerian law.
16.2 By Us
We may suspend or terminate your account and access to the Service at any time, with or without prior notice, if we reasonably believe you have:
- Violated these Terms.
- Engaged in conduct harmful to other users, third parties, or Boredom.
- Provided false or misleading identity information.
- Committed any act that is unlawful under Nigerian law.
16.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. The following provisions will survive termination by their nature: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
17. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales as the primary governing law, given that Boredom is incorporated there as a holding company. Nigerian law applies concurrently to all aspects of the Service that are operated within the Federal Republic of Nigeria.
17.1 Informal Resolution
You and Boredom agree to first attempt to resolve any dispute informally by contacting us at hello@boredomhq.com. We will use reasonable efforts to resolve the dispute within 30 days of receiving your written notice.
17.2 UK-Based Disputes
Where a dispute arises in connection with the UK holding company or involves a user based in the United Kingdom, and cannot be resolved informally, either party may refer the matter to the courts of England and Wales, which shall have non-exclusive jurisdiction. UK consumers retain the right to bring proceedings before the courts of their country of residence.
17.3 Nigeria-Based Disputes
Where a dispute arises from the operation of the Service in Nigeria and cannot be resolved informally, either party may submit the matter to the competent courts of the Federal Republic of Nigeria. Consumers may also approach the Federal Competition and Consumer Protection Commission (FCCPC) or the relevant state consumer protection body.
17.4 Arbitration
The parties may agree in writing to resolve disputes through arbitration. For UK-related disputes, the Arbitration Act 1996 (England and Wales) shall apply. For Nigeria-related disputes, the Arbitration and Conciliation Act (Cap A18 LFN 2004) shall apply, with the seat of arbitration in Lagos, Nigeria.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
18. Regulatory Compliance
As a UK-incorporated holding company trading in Nigeria, Boredom operates in compliance with applicable regulations in both jurisdictions, including but not limited to:
United Kingdom
- UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018: data privacy and protection.
- Consumer Rights Act 2015: consumer protections and unfair terms.
- Companies Act 2006: corporate governance and obligations as a UK-registered entity.
- Computer Misuse Act 1990: cybersecurity and unauthorised access to computer systems.
Federal Republic of Nigeria
- Nigeria Data Protection Act 2023 (NDPA): data privacy and protection.
- Cybercrimes (Prohibition, Prevention, etc.) Act 2015: cybersecurity and online conduct.
- Federal Competition and Consumer Protection Act (FCCPA) 2018: consumer rights and fair trading.
- Central Bank of Nigeria (CBN) Payment Regulations: electronic payments.
- Nigerian Communications Commission (NCC) Regulations: electronic communications.
- Copyright Act (Cap C28 LFN 2004): intellectual property.
We may update these Terms to reflect changes in applicable law or regulatory guidance in either jurisdiction. Users in jurisdictions outside the United Kingdom and Nigeria are responsible for compliance with their local laws.
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by:
- Displaying a prominent notice in the app at least 7 days before the changes take effect, and/or
- Sending an email to the address associated with your account.
The “Last updated” date at the top of this page will always reflect the most recent revision. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Boredom and supersede all prior agreements regarding the Service.
20.2 Severability
If any provision is found to be unenforceable or invalid under Nigerian law, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20.3 No Waiver
Our failure to enforce any right or provision will not be considered a waiver of those rights.
20.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction in circumstances such as a corporate restructuring or acquisition, provided we give you reasonable notice.
20.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemic or pandemic, civil unrest, electricity or network outages, or failure of third-party services.
20.6 Language
These Terms are written in English, which is the official language of the Federal Republic of Nigeria. In the event of any conflict between an English version and a translated version (if provided), the English version shall prevail.
